Terms of Service
Last updated: October 18, 2026
These Terms of Service ("Terms") govern your use of BidTrails (bidtrails.com), the proposal and opportunity workspace for government contractors, and TeamBench (teambench.biz), the teaming and subcontractor directory (together, the "Services"). The Services are provided by Yeap Inc., a Texas corporation ("Yeap", "we", "us").
By creating a workspace, publishing a listing, starting a trial, buying a plan or otherwise using the Services, you agree to these Terms. If you use the Services for a company, you confirm that you are authorized to accept these Terms for that company, and "you" includes that company. The Services are for business use by people 18 or older.
1. Your Yeap ID account
- You sign in to the Services with a Yeap ID account. The Yeap ID Terms of Service and Yeap ID Privacy Policy also apply to that account.
- Keep your sign-in secure and tell us right away at security@yeaptechnology.com if you believe your account has been used without permission.
2. Companies, members and roles
- A BidTrails workspace and a TeamBench listing belong to a company (an organization in Yeap ID), not to an individual.
- The company's owner and admins in Yeap ID decide who belongs to the company. In BidTrails they can also limit a member to viewing only or to billing only.
- Your company is responsible for the people it adds, for what they do in the Services, and for removing people who should no longer have access. When someone is removed in Yeap ID, their access to the company's workspace ends.
3. Your content
- You own your content. The opportunities, notes, contacts, documents, listings and other material your company adds ("Customer Content") belong to your company.
- You give Yeap a limited license to host, store, copy, process and display Customer Content only as needed to provide, secure and support the Services for you. For TeamBench this includes showing your listing as described in the TeamBench Listing Terms.
- You confirm that you have the rights and permissions needed to upload and share your Customer Content, including any third-party documents and contact details.
- If you send us feedback or suggestions, we may use them without obligation to you.
4. Information you must not put in the Services
The Services are commercial cloud services. They are not designed, certified or authorized for the following, and you must not upload, store or share it in BidTrails or TeamBench:
- classified information;
- Controlled Unclassified Information (CUI), including Covered Defense Information;
- export-controlled technical data (ITAR or EAR);
- any information your contract, agency or law does not allow you to put in a commercial cloud service; and
- sensitive personal information that the Services don't need, such as Social Security numbers, financial account numbers or health information.
The Services are not FedRAMP authorized and are not certified under CMMC or any other compliance program. We may remove information that breaks this section.
5. Acceptable use
You will not, and will not help anyone else to:
- use the Services in violation of law or of another party's rights;
- scrape, harvest, copy in bulk or resell TeamBench listings or contact details, or use them to build mailing lists;
- send spam or unsolicited bulk messages through the Services;
- impersonate another person or company, misstate your affiliation, or misuse Yeap's names and brands;
- upload malware, or probe, scan, test or attack the Services or other users' data, or bypass any access control or usage limit;
- use contact details you obtain through TeamBench for anything other than genuine teaming, subcontracting or procurement conversations; or
- use the Services to build a competing product.
6. TeamBench
Listings, verification, who can see what, contact sharing, reports and paid placement are governed by the TeamBench Listing Terms, which are part of these Terms.
7. Plans, trials and payment (BidTrails)
- Trial. New self-service workspaces require a payment method before the 14-day trial starts. Choose your plan and billing period, then pay by card (Stripe Checkout) or with PayPal. No subscription fee is charged during that trial. At its end, the displayed recurring price is charged automatically to the card or PayPal account you chose unless you cancel first in Plan & billing (Manage billing for card payments, Cancel PayPal subscription for PayPal). A trial that began under the previous no-payment-details offer is not automatically converted or charged unless you complete checkout and authorize it; any remaining eligible trial time is shown before checkout.
- Prices. Current plans and prices are shown on the Plan & billing page before you buy. Annual prices include the Yeap ID prepay discount in effect when you buy. Prices are in U.S. dollars and don't include taxes unless stated.
- Payment. Card payments are processed by Stripe, and PayPal payments by PayPal. Discounts you qualify for (for example, a verified .gov email discount) and any Yeap ID wallet balance you choose to use are applied by Yeap ID at card checkout; they don't apply to PayPal payments.
- Renewal. Plans renew automatically for the same period until canceled. By buying a plan you authorize us, through Stripe or PayPal, to charge the payment method you chose at each renewal.
- Price changes. We will tell you at least 30 days before a price change applies to your renewal.
- Failed payments. If a renewal payment fails, your plan becomes past due. You keep using it while you update your payment method in Manage billing, but we may move the workspace to read-only if the payment isn't made.
- Cancellation and refunds. You can cancel at any time in Manage billing. Cancellation takes effect at the end of the current billing period. Refunds follow the Refund & Cancellation Policy.
BidTrails AI add-on
The optional AI add-on currently provides daily public SAM.gov opportunity suggestions, rule-based matching, AI-drafted fit notes and importing an accepted notice into your workspace. Full proposal drafting, requirement extraction and amendment monitoring are not included in this release. You review the suggestions and decide what to accept, decline or set aside; BidTrails does not submit a bid or contact a buyer automatically.
The AI add-on costs $99 per month per company, separately from the workspace plan. Annual pricing uses Yeap ID's prepay discount shown before checkout. An eligible company receives one 14-day AI trial with 300,000 tokens in total after providing a payment method and accepting AI processing. The add-on then charges automatically unless canceled before that trial ends. A paid add-on includes 2,000,000 tokens per monthly allowance period (including on annual billing), with no rollover. Usage counts input and output tokens reported by OpenAI. If the balance is insufficient, AI notes pause; the normal workspace stays available under its own plan.
Optional prepaid packs cost $5 for 100,000 tokens or $40 for 1,000,000 tokens and expire 12 months after purchase. Monthly included tokens are used first, then unexpired packs in expiry order. Packs require an active AI entitlement; unused packs do not keep a canceled add-on active. A refunded or disputed pack is disabled. Packs do not renew automatically. Canceling the AI add-on does not cancel the workspace plan, and vice versa.
Trial setup saves your payment method for the disclosed recurring price. Yeap ID wallet coverage and one-time discount codes apply to immediate paid checkouts, not delayed trial setup. A payment method must still be collected for subscriptions, including checkouts with a zero amount due, to support later renewals. You can update it or cancel in Manage billing.
By opting in for your company, you authorize Yeap to send that company's matching profile and public solicitation text to OpenAI to generate fit notes, as described in the Privacy Policy. Do not put CUI, classified, export-controlled or other prohibited information in the matching profile. The current add-on does not send your uploaded proposal files to OpenAI. AI results may be inaccurate or incomplete and are not a determination of eligibility, compliance, an award prediction or professional advice. Verify every result against the current solicitation and amendments. Customer Content remains yours; our limited processing license applies to AI inputs and outputs as needed to provide the feature. We do not use company content to train AI models or opt it into provider training.
8. When a plan ends
- If a trial ends without a paid plan, or a paid plan ends after cancellation, the workspace becomes read-only for 30 days. During that time your members can still read and export records, and you can reactivate by choosing a plan.
- After the read-only period the workspace closes and members can no longer open it. Choosing a plan reopens it.
- You can export opportunities as CSV at any time, and the owner can download a full backup with documents. How long we keep the data of a closed workspace, and how to have it deleted, is explained in the Privacy Policy.
9. Your bids are your responsibility
BidTrails helps you track opportunities, deadlines and documents. It does not submit proposals, contact buyers or teaming partners for you, or give legal, procurement or compliance advice. You are responsible for everything you submit to a buyer and for meeting every requirement and deadline in a solicitation. Reminders are a convenience and can be delayed or missed, so don't rely on them alone.
10. Third-party services and data
The Services use or link to third-party services and data, such as Stripe and PayPal for payments and SAM.gov for registration status. Those services are governed by their own terms, and we aren't responsible for them or for the accuracy of public data we display from them.
11. Availability and changes
- We work to keep the Services available and secure, but we don't promise they will be uninterrupted or error-free. We may need to pause them for maintenance or security.
- We may add, change or remove features. If a change materially reduces a paid feature you are using, we will give you at least 30 days' notice. If you don't accept it, you may cancel and receive a prorated refund of fees you prepaid for the remaining term.
- Features marked as preview or beta are provided as is and may change or end.
12. Suspension and termination
- You can stop using the Services and cancel your plan at any time.
- We may suspend or end access, or hide a listing, if you materially break these Terms, if needed to protect the Services, other users or the public, if your account isn't paid, or if the law requires it. Where reasonable, we will tell you first and give you a chance to fix the problem.
- Sections that by their nature should survive (such as ownership, payment owed, disclaimers, limitation of liability, indemnity and governing law) survive the end of these Terms.
13. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, YEAP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DON'T WARRANT THAT LISTINGS, REGISTRATION STATUSES OR OTHER INFORMATION PROVIDED BY USERS OR THIRD PARTIES ARE ACCURATE OR COMPLETE, OR THAT USING THE SERVICES WILL WIN ANY CONTRACT.
14. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW: (A) YEAP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, CONTRACTS, BIDS, GOODWILL OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) YEAP'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $100. These limits don't apply where the law doesn't allow them.
15. Indemnity
You will defend and indemnify Yeap and its officers and employees against third-party claims, and related losses and reasonable legal fees, arising from your Customer Content, your listing, or your use of the Services in breach of these Terms or the law.
16. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute relating to the Services or these Terms will be brought only in the state or federal courts located in Dallas County, Texas, and you and Yeap consent to their jurisdiction. Before filing a claim, please contact us at legal@yeaptechnology.com so we can try to resolve it informally.
17. U.S. government users
The Services are commercial computer software and commercial services. If a U.S. government entity uses them, it receives only the rights granted to all customers under these Terms, consistent with FAR 12.211, FAR 12.212 and DFARS 227.7202, as applicable.
18. Changes to these Terms
We may update these Terms. We will post the new version here with a new "Last updated" date. If a change is material, we will give you at least 30 days' notice by email or in the Services before it takes effect. Continuing to use the Services after the change takes effect means you accept it.
19. General
- These Terms, the documents they link to, and any order you place are the entire agreement between you and Yeap about the Services.
- You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
- If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a provision isn't a waiver.
- Neither party is responsible for delays caused by events beyond its reasonable control.
- You will comply with U.S. export control and sanctions laws when using the Services.
- We can send you notices by email to your company's owner or in the Services. Send legal notices to legal@yeaptechnology.com.
- If your company needs a data processing addendum, contact legal@yeaptechnology.com.
